info@z-polymers.com

By creating or activating a Z-CAD account, accepting these Terms electronically, installing the desktop application, or accessing or using Z-CAD, you agree to these Terms.

If you use Z-CAD on behalf of a company, university, organization, or other entity, you represent that you have authority to accept these Terms on its behalf.

If you do not agree to these Terms, do not use Z-CAD.

Beta Participant Acknowledgments

By accepting these Terms, you specifically confirm and agree to each of the following. This summary highlights important points and does not limit the full Terms below.

1. The Z-CAD Beta

Z-CAD is a computer-aided manufacturing and reinforcement-planning application intended to assist users in designing and preparing internally reinforced additively manufactured parts.

During the beta, Z-CAD is designed to allow you to:

Z-CAD does not certify designs or manufactured components.

The beta is experimental, pre-release software provided for evaluation, development, testing, and validation. It is not intended to be relied upon for production manufacturing, and you must independently validate every Output before use.

2. Beta Status

Z-CAD is under active development. At any time, the beta may:

Z-Polymers does not guarantee that beta features will appear in the commercial production version of Z-CAD.

Access to the beta may be limited, invitation-based, waitlist-based, or subject to approval.

Submitting a beta request or joining a waitlist does not guarantee access.

3. Beta Access and Accounts

You must maintain an authorized Z-CAD account to access account-controlled features.

Eligibility; Business Use. You must be at least 18 years old (or the age of majority where you live) to create an account or accept these Terms. A student under that age may use Z-CAD only through an educational institution that has accepted these Terms on the student's behalf. Z-CAD is offered for professional, business, educational, and research purposes. By accepting these Terms, you represent that you will use Z-CAD primarily for those purposes and not primarily for personal, family, or household purposes.

You agree to provide accurate account information and maintain the security of your account.

Your account may not be sold, rented, sublicensed, or knowingly shared with unauthorized users.

You are responsible for activity through your account except to the extent the activity directly results from Z-Polymers' gross negligence or willful misconduct.

You must notify Z-Polymers if you reasonably believe your account or an authorized installation has been compromised.

Z-Polymers may limit the number of installations associated with an account.

4. Beta License

Subject to these Terms, Z-Polymers grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Z-CAD beta for:

The Z-CAD desktop application is licensed, not sold.

Z-Polymers retains all rights not expressly granted by these Terms.

5. Beta Pricing

Unless otherwise stated in a separate written agreement, beta access is currently provided without charge.

Free beta access does not create any right to free production access.

Z-Polymers may later introduce:

Any future payment obligations will apply prospectively and will be communicated separately.

6. Activation and Entitlements

Z-CAD may use account-based software activation and signed software entitlements.

Current beta entitlements may be issued for limited periods and require periodic online renewal.

An unexpired entitlement may continue functioning offline until expiration.

Certain functionality may require a current entitlement, including:

Z-Polymers may modify entitlement duration, installation limits, activation processes, supported capabilities, or renewal requirements during the beta.

Entitlement Interruptions. Z-CAD's functions may depend on online entitlement renewal, signed credentials, device clock settings, and Z-Polymers' hosted services. Z-Polymers is not liable for any interruption, expiration, failure to renew, incorrect device time, key rotation, service outage, or entitlement error, including one that prevents computation or export during a production run. You should renew entitlements well before they expire and should not rely on Z-CAD as the only means of completing time-critical manufacturing. Z-Polymers may require updates, including for security or licensing reasons, and is not liable for the effect of an update on work in progress.

You may not circumvent, forge, disable, manipulate, or interfere with Z-CAD licensing, entitlement, authentication, or access-control systems.

7. Your Models and Projects

You retain your ownership rights in CAD models, geometry, project files, designs, and other material you provide to Z-CAD ("User Content").

Z-Polymers does not acquire ownership of your User Content merely because you use Z-CAD.

You represent that you have sufficient rights to use User Content with Z-CAD.

8. Z-CAD Outputs

As between you and Z-Polymers, you retain your rights in files and manufacturing outputs you create using your User Content through Z-CAD ("Outputs").

This does not transfer ownership of:

You are responsible for determining whether your Outputs infringe third-party rights.

9. Local Geometry Processing

The Z-CAD beta is designed so that customer geometry processing occurs locally on the user's device. This describes the design of supported workflows and is not a warranty.

Supported Z-CAD workflows are not designed to transmit your CAD geometry or Z-CAD project geometry to Z-Polymers for remote geometry processing.

Models, projects, exports, and recovery data normally remain on your device.

Online Z-CAD services may process information necessary for:

Details are described in the Z-CAD Privacy Policy.

10. Local Storage and Backups

You are responsible for maintaining backups of your work.

Z-CAD may provide autosave, snapshots, recovery, or similar functionality.

Those features are intended as conveniences and are not guaranteed backup systems.

Z-Polymers does not guarantee recovery of:

Beta software may corrupt, overwrite, alter, or render unreadable project files, recovery snapshots, and Outputs. Do not store the only copy of any file in Z-CAD. Keep your original CAD source files and back up your work before opening it in a new beta release.

11. Engineering Responsibility

Z-CAD is an engineering and manufacturing tool.

It is not a substitute for engineering judgment, testing, validation, qualification, certification, or regulatory review.

Z-CAD does not certify that:

You are responsible for verifying your designs and manufacturing processes.

Acknowledgment and Assumption of Risk. Additive manufacturing, multi-material processing, and internally reinforced components involve inherent risks, including part failure, delamination, equipment damage, fire, and injury. You acknowledge that (a) Z-CAD's outputs are computer-generated and may contain errors; (b) you are solely responsible for deciding whether to manufacture, sell, distribute, or place into service any component; (c) you will independently inspect, test, and qualify each component before release; and (d) you assume all risk arising from your use of Z-CAD and from your manufacture, distribution, and use of any component or Output. To the extent you use the beta to manufacture parts for sale or for use in service, you do so entirely at your own risk.

12. Experimental Material Systems

Z-CAD may support advanced, experimental, multi-material, or reinforced-material manufacturing strategies.

Material compatibility, adhesion, thermal behavior, anisotropy, fatigue performance, environmental resistance, creep, impact resistance, dimensional stability, and other properties may depend on material grade, processing history, geometry, printer, slicing parameters, orientation, and other variables.

Software-generated reinforcement geometry does not establish mechanical performance.

Users must validate material systems and manufacturing processes appropriate to their applications.

13. Safety-Critical and Regulated Applications

Do not rely on Z-CAD as the sole basis for determining whether a component is safe or suitable for a safety-critical or regulated application.

Appropriate independent engineering analysis, manufacturing qualification, testing, inspection, and regulatory review may be required for applications involving:

No Certification or Approval. Z-CAD and its Outputs are not certified, approved, cleared, or qualified under any regulatory or industry standard, including by the U.S. Food and Drug Administration or any other medical-device regulator, the Federal Aviation Administration, the European Union Aviation Safety Agency, or any aerospace, automotive, pressure-vessel, building-code, or similar authority. You will not state or imply that Z-Polymers or Z-CAD has certified, approved, tested, validated, or endorsed any component. You are solely responsible for the specifications, statements, and warranties you give to your own customers and for including appropriate disclaimers in your own documentation and sales materials.

High-Risk Applications. During the beta, you may not use Z-CAD to design or manufacture components for High-Risk Applications. "High-Risk Applications" means medical devices and patient-specific devices; aircraft, spacecraft, and their components; life-support systems; nuclear facilities; pressure-containing systems; and any other application where failure could reasonably be expected to cause death, serious injury, or severe environmental harm.

14. Third-Party Software and Equipment

Z-CAD may generate files intended for third-party slicers, printers, CAD software, analysis tools, and manufacturing equipment.

Z-Polymers does not control these products and does not guarantee continued compatibility with them.

Third-party products may change independently of Z-CAD.

You are responsible for reviewing manufacturing files and settings after transfer to third-party software.

15. Restrictions

Except where applicable law expressly provides otherwise, you may not:

1. redistribute or resell Z-CAD itself;

2. rent, lease, sublicense, or commercially provide access to Z-CAD without authorization;

3. operate Z-CAD as a hosted software service for third parties without written authorization;

4. reverse engineer, decompile, or disassemble proprietary portions of Z-CAD;

5. attempt to obtain proprietary source code except where expressly permitted by law;

6. bypass licensing, activation, entitlement, or authentication mechanisms;

7. remove copyright, trademark, attribution, or proprietary notices;

8. attempt unauthorized access to accounts, systems, administrative tools, or infrastructure;

9. intentionally interfere with Z-CAD infrastructure or security;

12. use Z-CAD to violate intellectual-property, confidentiality, privacy, or other legal rights.

16. Open-Source Components

Z-CAD may include third-party and open-source software.

Those components remain subject to their applicable licenses.

Nothing in these Terms reduces rights granted to you directly under an applicable open-source license.

17. Feedback

You may voluntarily provide feedback concerning the Z-CAD beta.

Feedback may include:

You grant Z-Polymers a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable right to use, modify, reproduce, commercialize, and otherwise use Feedback without restriction or compensation.

This Feedback license does not give Z-Polymers ownership of your CAD models or project geometry. You represent that you have the right to grant the Feedback license. Feedback is provided "as is," and Z-Polymers has no obligation to use, protect, or compensate you for Feedback.

18. Confidential Beta Information

Beta participants may receive access to non-public:

Information identified as confidential, or that a reasonable person would understand to be non-public beta information, must not be publicly disclosed without authorization from Z-Polymers.

This restriction does not apply to information that becomes public without violation of these Terms, was lawfully known to you previously, is independently developed, or is lawfully obtained from another source.

Compelled Disclosure. You may disclose confidential beta information if required by law or legal process, provided you give Z-Polymers prompt notice (where lawful) and disclose only what is required.

Duration. These obligations continue for three (3) years after the end of the beta, except that information Z-Polymers publicly releases is no longer confidential.

Benchmarks. You may not publish or disclose to third parties the results of performance, mechanical-property, or comparative testing of the beta without Z-Polymers' prior written consent.

A separately signed nondisclosure agreement controls where applicable.

19. Analytics, Feedback, and Support Data

Z-CAD may collect limited product-usage events to help operate, support, secure, and improve the product.

Automatic usage telemetry is designed to exclude customer CAD geometry, project content, and filenames.

Information intentionally included in support requests or Feedback may be transmitted to Z-Polymers.

Technical context or activity history may also be submitted when you choose to include it with a support or Feedback request.

Data practices are further described in the Z-CAD Privacy Policy.

20. Marketing Communications

Marketing consent is optional.

Declining marketing communications does not affect beta eligibility or normal access unless expressly stated otherwise for a particular voluntary program.

Operational communications concerning accounts, security, licensing, legal notices, and service administration are not marketing communications.

21. Beta Updates

Z-Polymers may update Z-CAD frequently during the beta.

Updates may modify:

You are responsible for evaluating whether a beta update is appropriate before relying on it for production manufacturing.

22. No Service-Level Commitment

Unless a separate written agreement expressly states otherwise, the beta has no guaranteed:

23. Suspension or Removal from Beta

Z-Polymers may suspend or terminate beta access if:

Where reasonably practical, Z-Polymers will explain the reason for account suspension.

Termination of beta access does not automatically delete project files stored locally on your device.

Z-Polymers may also suspend or end the beta, or your access to it, at any time and for any reason, with or without notice, and without liability to you. Z-Polymers may delete beta account data after the beta ends, subject to the Privacy Policy and applicable law.

24. Export Controls and Sanctions

You are responsible for complying with applicable export-control, sanctions, and trade laws.

You may not use or transfer Z-CAD in violation of applicable restrictions.

You are separately responsible for determining whether CAD models, manufacturing data, technical information, or Outputs are controlled technical data.

You represent that you are not located in, or ordinarily resident in, a country or region subject to comprehensive U.S. sanctions, and that you are not identified on any U.S. government restricted-party list. You will not use Z-CAD to design or manufacture items for weapons of mass destruction, missiles, or any other end use prohibited by applicable export-control laws.

25. No Professional Services Relationship

Use of Z-CAD does not create an engineering-client, consulting, fiduciary, partnership, agency, or professional-services relationship.

Unless separately agreed in writing, documentation, presets, examples, recommendations, material information, and demonstrations do not constitute engineering certification or professional engineering services.

26. Beta Warranty Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE Z-CAD BETA IS PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS."

Z-POLYMERS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, COMPATIBILITY, AVAILABILITY, AND FITNESS OF ANY MANUFACTURED COMPONENT.

Z-POLYMERS DOES NOT WARRANT THAT THE BETA WILL BE ERROR-FREE OR THAT AN OUTPUT WILL BE MANUFACTURABLE OR ACHIEVE ANY PARTICULAR PERFORMANCE.

YOU USE THE Z-CAD BETA, ITS OUTPUTS, AND ANY COMPONENT MADE USING THEM AT YOUR OWN RISK. AS DESCRIBED IN SECTION 11, YOU ASSUME ALL RISK ARISING FROM YOUR USE OF Z-CAD AND FROM YOUR MANUFACTURE, DISTRIBUTION, AND USE OF ANY COMPONENT OR OUTPUT, AND Z-POLYMERS MAKES NO WARRANTY AS TO THE QUALITY, PERFORMANCE, OR FITNESS OF ANY COMPONENT.

No Other Warranties. No oral or written advice, documentation, preset, example, estimate, marketing statement, demonstration, training, or support communication from Z-Polymers or its representatives creates a warranty or expands the scope of these Terms. Z-Polymers also disclaims all warranties arising from course of dealing, course of performance, or usage of trade. Estimates (including material usage, print time, and cost), automated geometry repairs, previews, and generated reinforcement geometry are approximations only and may differ materially from actual results. Z-Polymers does not warrant that Z-CAD will be compatible with your hardware, materials, slicers, or printers; that defects will be corrected; or that Z-CAD will operate without interruption or loss of data. Any support, onboarding, or application-engineering assistance is provided "as is," without any warranty that it will be performed in a workmanlike manner or produce any particular result.

Some jurisdictions do not allow certain exclusions, so some provisions may not apply to you.

27. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Z-POLYMERS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM Z-CAD.

THIS INCLUDES LOST PROFITS, LOST PRODUCTION, LOST REVENUE, LOST DATA, LOST OPPORTUNITIES, MACHINE DOWNTIME, WASTED MATERIAL, FAILED PRINTS, SCRAPPED COMPONENTS, DAMAGE TO EQUIPMENT, RECALL COSTS, AND SUBSTITUTE MANUFACTURING COSTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Z-POLYMERS' AGGREGATE LIABILITY ARISING FROM THE BETA, Z-CAD, OR THESE TERMS WILL NOT EXCEED US $100.

Scope of Limitations. In this Section, "Z-Polymers Parties" means Z-Polymers and its affiliates, officers, directors, employees, contractors, licensors, and service providers. The exclusions and limits in this Section apply to all claims, whether based on contract, tort (including negligence and strict liability), warranty, statute, or any other legal theory; apply even if a Z-Polymers Party has been advised of the possibility of the damages; and apply even if a limited remedy fails of its essential purpose. They apply to claims relating to data loss, security incidents, and privacy to the fullest extent permitted by law.

Aggregate Cap; Multiple Claims. The cap is an aggregate limit for all claims in total, not a per-claim or per-incident limit. The existence of multiple claims, claimants, or events does not increase it.

Sole and Exclusive Remedy. Your sole and exclusive remedy for any dissatisfaction with Z-CAD is to stop using it.

Basis of the Bargain. You acknowledge that the exclusions and limits in these Terms reflect a reasonable allocation of risk, that Z-Polymers would not make the beta available without them, and that the availability of free access reflects that allocation.

Third-Party Beneficiaries. Each Z-Polymers Party that is not a party to these Terms is an intended third-party beneficiary of the exclusions, limits, and disclaimers in these Terms and may enforce them.

Time to Bring Claims. To the extent permitted by law, any claim arising from Z-CAD or these Terms must be commenced within one (1) year after the claim first arose.

Nothing in these Terms excludes or limits liability for fraud, willful misconduct, or gross negligence, or any other liability that applicable law does not permit to be limited.

28. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Z-Polymers and its affiliates, officers, directors, employees, and agents from third-party claims arising from:

This obligation does not apply to the extent a claim results from liability of Z-Polymers that cannot legally be excluded.

Indemnification Procedure. Z-Polymers will give you prompt written notice of a claim (delay relieves you only to the extent you are materially prejudiced). You may control the defense with counsel reasonably acceptable to Z-Polymers, and Z-Polymers may participate at its own expense. You may not settle any claim in a way that imposes obligations on, or admits fault by, Z-Polymers without its prior written consent. You will reimburse Z-Polymers' reasonable attorneys' fees and costs incurred in responding to covered claims.

29. Changes to the Beta Terms

Z-Polymers may update these Terms as the beta evolves.

Updated Terms will include a version or effective date.

If changes materially affect your rights or obligations, Z-Polymers may require renewed acceptance before continued use.

The version you accept may be recorded with your Z-CAD account.

30. Transition to Production

The beta program may eventually be replaced by a production release of Z-CAD.

Production use may require acceptance of new or revised Terms of Use, licensing terms, subscription terms, enterprise terms, or pricing.

Your beta license does not guarantee continued production access.

Files created during the beta may remain usable where technically supported, but Z-Polymers does not guarantee indefinite compatibility with beta project formats.

Outputs generated using any beta or preview version of Z-CAD remain subject to these Terms' disclaimers, limitations, and indemnification obligations after the beta ends, and your acceptance of any production terms does not create any warranty or liability for prior use.

31. Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-laws rules, and excluding the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act.

Unless applicable law requires otherwise, legal proceedings relating to these Terms or Z-CAD must be brought exclusively in the state courts located in Middlesex County, Massachusetts, or the United States District Court for the District of Massachusetts, and each party consents to personal jurisdiction and venue in those courts.

Jury Waiver. TO THE EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY PROCEEDING ARISING FROM THESE TERMS OR Z-CAD.

Informal Resolution. Before starting a proceeding (other than one seeking injunctive or other equitable relief), you agree to send written notice of the dispute to info@z-polymers.com and to try in good faith to resolve it for thirty (30) days. The time limit in the "Time to Bring Claims" paragraph of Section 27 is paused during that period.

Equitable Relief. Misuse of Z-CAD's software, licensing mechanisms, or confidential information would cause Z-Polymers irreparable harm, and Z-Polymers may seek injunctive or other equitable relief in addition to any other remedy, without posting bond to the extent permitted by law.

Class Action Waiver. TO THE EXTENT PERMITTED BY LAW, YOU MAY BRING CLAIMS ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.

32. General

These Terms, the Z-CAD Privacy Policy, and any separately signed agreement expressly governing your beta participation constitute the agreement concerning your use of the Z-CAD beta.

A separately signed agreement controls to the extent it expressly conflicts with these Terms.

If a provision is unenforceable, the remaining provisions remain effective.

Failure to enforce a provision does not waive it.

You may not assign these Terms without written authorization from Z-Polymers.

Z-Polymers may assign these Terms as part of a merger, acquisition, reorganization, financing, sale of assets, or transfer of the Z-CAD business.

Entire Agreement; No Reliance. These Terms and the documents they expressly reference are the entire agreement between you and Z-Polymers concerning the Z-CAD beta and supersede all prior or contemporaneous statements, proposals, and understandings. You have not relied on any statement, promise, or representation that is not expressly set out in these Terms.

Interpretation; Relationship of the Parties. Headings are for convenience only. "Including" means "including without limitation." These Terms will not be construed against either party as drafter. The parties are independent contractors, and nothing in these Terms creates a partnership, joint venture, agency, or employment relationship. Except as stated in the Limitation of Liability section, these Terms create no third-party beneficiary rights.

Force Majeure. Neither party is liable for delay or failure to perform (other than a payment obligation) caused by events beyond its reasonable control, including natural disasters, epidemics, war, terrorism, civil unrest, labor disputes, governmental action, export restrictions, power or internet failures, hosting or cloud-provider outages, or failures of third-party software or services.

Survival. Sections concerning ownership, restrictions, Feedback, confidentiality, warranty disclaimers, limitation of liability, indemnification, governing law and dispute resolution, and any other provisions intended by their nature to survive will survive termination or expiration of the beta.

Electronic Communications. You agree that Z-Polymers may provide legal notices, license notices, account notices, security notices, and other operational communications electronically through Z-CAD or to the email address associated with your account. Marketing messages are governed separately from required operational communications.
